These terms of service apply to the use of ContractDecision, a service provided by FP-Operations. By using ContractDecision, uploading a contract, or making a payment, you agree to these terms.

ContractDecision is intended for business users who want to review supplier contracts for commercial risks and decisionability before signing or renewal.

1. Definitions

In these terms, the following definitions apply:

ContractDecision: the online service used to review supplier contracts and generate a business decision report.

User: the person or organization using ContractDecision, uploading a contract, or making a payment.

Decision Report: the report generated by ContractDecision based on the provided contract. The report contains a business risk and decision indication.

Decision Credit: a credit that allows for one decision report to be requested for one supplier contract.

Premium Review: an additional commercial in-depth analysis on a decision report, focusing on next steps such as negotiation points, counterproposals, fallback positions, and communication to the supplier.

2. Services

ContractDecision helps users to commercially assess supplier contracts before signing or renewal.

The service can provide insight into risks regarding price, liability, delivery, remedies, dependency, exit, renewal, and other commercial contract terms.

The outcome of a decision report may consist of a direction such as approve, renegotiate, or reject.

ContractDecision does not legally determine whether a contract is valid, enforceable, or completely safe. The service supports business decision-making but does not make decisions on behalf of the user.

3. No Legal Advice

ContractDecision provides a business risk and decision indication and does not constitute legal advice.

The reports, risk scores, focal points, recommendations, and Premium Review developments do not replace an assessment by an attorney, legal counsel, or other professional advisor.

The user remains solely responsible for decisions regarding signing, renegotiation, rejection, or use of a contract. Always consult a legal advisor in case of doubt.

4. Use of ContractDecision

The user is responsible for providing accurate, complete, and legible contract information.

ContractDecision is intended for supplier contracts, framework agreements, and purchasing terms. Other contract types may fall outside the supported scope.

The user may not use ContractDecision for unlawful purposes, abuse, infringement on third-party rights, uploading harmful files, or processing information for which the user is not authorized.

5. Uploads and Processing

Uploaded contracts are used to generate the requested decision report.

The contract file is not permanently stored for commercial purposes. Limited report outcomes, request details, and administrative data may be used for processing, administration, quality control, and improvement of the services.

6. Decision Credits

One decision credit entitles the user to one business decision report for one supplier contract.

Credits remain linked to the email address or company with which the request or payment was made.

If insufficient credits are available, ContractDecision may ask the user to make a payment first before delivering a report.

Purchased credits are intended for use within ContractDecision and are non-transferable without prior consent.

7. Free First Contract Decision

ContractDecision may offer a free first contract decision.

FP-Operations may restrict or refuse abuse of free use, for example, in case of repeated use with different email addresses, incorrect data, or use that does not align with normal business use.

8. Payment

Payments are processed via Stripe. The user is responsible for correctly filling out payment and contact details.

Prices are listed on the website or payment page. FP-Operations may adjust prices. Price changes do not apply retroactively to already completed payments.

Following a successful payment, credits or purchased services are linked to the specified email address or company.

9. Premium Review

Premium Review is an additional service to a decision report.

Premium Review can, among other things, consist of commercial negotiation direction, priorities, counterproposals, fallback positions, walk-away key points, and a draft email to the supplier.

Premium Review remains a business assessment and is not legal advice. The user remains solely responsible for negotiations, communication, and decision-making.

10. Delivery

The decision report is normally sent via email to the specified email address.

ContractDecision aims for fast delivery, but cannot guarantee uninterrupted availability or a fixed delivery time. Delay can occur due to technical errors, unreadable files, payment issues, incorrect data, or external service providers.

11. Refunds and Cancellation

Since ContractDecision provides digital services that can be processed quickly after upload or payment, there is in principle no right to a refund once a decision report or Premium Review has been generated or delivered.

If a payment was made but the service cannot be technically delivered, FP-Operations may, within reason, choose to offer a correction, a new delivery, credit allocation, or a refund.

12. Limitations of the Service

ContractDecision uses automation and AI technology to review contract information. Although the service is carefully designed, errors, omissions, or differences in interpretation may occur.

ContractDecision does not guarantee that every risk, every clause, every legal nuance, or every commercial consequence is fully identified.

The outcome of the report is based on the information provided and the processing available at that moment.

13. Liability

To the extent permitted by law, FP-Operations is not liable for indirect damages, consequential damages, loss of turnover, loss of profit, missed savings, loss of customers, loss of reputation, or damages resulting from decisions the user makes based on a report.

The total liability of FP-Operations is, to the extent permitted by law, limited to the amount the user paid for the service in question.

This limitation does not apply to liability that cannot be excluded or limited by law.

14. Availability and Changes

FP-Operations may adjust, improve, temporarily suspend, or terminate ContractDecision when necessary for maintenance, security, improvement, or business operations.

FP-Operations may change these terms of service. The most recent version is on the website. In case of material changes, clear communication will be provided where appropriate.

15. Intellectual Property

All rights to the website, report structure, texts, templates, method, software, prompts, analysis structure, visual design, and other components of ContractDecision remain the property of FP-Operations or its licensors.

The user only obtains the right to use the report delivered to them internally for business decision-making regarding the contract in question.

16. Applicable Law

These terms and the use of ContractDecision are governed by Dutch law, unless mandatory law prescribes otherwise.

Disputes will preferably first be resolved through mutual consultation. If that fails, disputes will be submitted to the competent court in the Netherlands.
