Terms of Service

These Terms of Service apply to the use of ContractDecision, a service of FP-Operations. By using ContractDecision, uploading a contract, or making a payment, you agree to these terms.

ContractDecision is intended for business users who want to assess supplier contracts before signing or renewal from a commercial risk and decision perspective.

1. Definitions

In these terms:

ContractDecision means the online service used to assess supplier contracts and generate a business decision report.

User means the person or organisation using ContractDecision, uploading a contract, or making a payment.

Decision report means the report generated by ContractDecision based on the submitted contract. The report contains a business risk and decision indication.

Decision credit means a credit that can be used to request one decision report for one supplier contract.

Premium Review means an additional commercial review based on an existing decision report, focused on next steps such as negotiation points, counterproposals, fallback positions, and supplier communication.

2. Service

ContractDecision helps users assess supplier contracts before signing or renewal.

The service may provide insight into risks related to pricing, liability, delivery, remedies, dependency, exit, renewal, and other commercial contract provisions.

A decision report may provide a direction such as approve, renegotiate, or reject.

ContractDecision does not determine whether a contract is legally valid, enforceable, or completely safe. The service supports business decision-making but does not make decisions on behalf of the user.

3. No legal advice

ContractDecision provides a business risk and decision indication and does not provide legal advice.

Reports, risk scores, attention points, recommendations, decision directions, and Premium Review outputs do not replace review by a lawyer, legal counsel, or other professional advisor.

The user remains responsible for decisions regarding signing, renegotiation, rejection, or use of a contract. Consult a legal advisor if in doubt.

4. Use of ContractDecision

The user is responsible for submitting accurate, complete, and readable contract information.

ContractDecision is intended for supplier contracts, framework agreements, and purchasing terms. Other contract types may fall outside the supported scope.

The user may not use ContractDecision for unlawful purposes, abuse, infringement of third-party rights, uploading harmful files, or processing information for which the user has no authority.

5. Uploads and processing

Uploaded contracts are used to generate the requested decision report.

The contract file is not stored permanently for commercial purposes. Limited report outcomes, request data, and administrative data may be used for processing, administration, quality control, and service improvement.

6. Decision credits

One decision credit gives the user the right to one business decision report for one supplier contract.

Credits remain linked to the email address or company used for the request or payment.

If insufficient credits are available, ContractDecision may require payment before a report is delivered.

Purchased credits are intended for use within ContractDecision and are not transferable without prior permission.

7. Free first contract decision

ContractDecision may offer a free first contract decision.

FP-Operations may limit or refuse free use in cases of abuse, including repeated use with different email addresses, incorrect information, or use inconsistent with normal business use.

8. Payment

Payments are processed through Stripe. The user is responsible for entering correct payment and contact details.

Prices are stated on the website or payment page. FP-Operations may change prices. Price changes do not apply retroactively to completed payments.

After successful payment, credits or purchased services are linked to the submitted email address or company.

9. Premium Review

Premium Review is an additional service based on an existing decision report.

Premium Review may include commercial negotiation direction, priorities, counterproposals, fallback positions, walk-away points, and a supplier email draft.

Premium Review remains a business review and does not provide legal advice. The user remains responsible for negotiation, communication, and decision-making.

10. Delivery

Decision reports are normally delivered by email to the submitted email address.

ContractDecision aims to deliver reports quickly but does not guarantee uninterrupted availability or a fixed delivery time. Delays may occur due to technical issues, unreadable files, payment issues, incorrect information, or external service providers.

11. Refunds and cancellation

Because ContractDecision provides digital services that may be processed shortly after upload or payment, refunds are generally not available once a decision report or Premium Review has been generated or delivered.

If a payment has been made but the service cannot be technically delivered, FP-Operations may reasonably choose to restore delivery, provide a new delivery, assign credit, or issue a refund.

12. Service limitations

ContractDecision uses automation and AI technology to assess contract information. Although the service is designed with care, errors, omissions, or differences in interpretation may occur.

ContractDecision does not guarantee that every risk, clause, legal nuance, or commercial consequence will be fully identified.

The output is based on the submitted information and the processing available at that time.

13. Liability

To the extent permitted by law, FP-Operations is not liable for indirect damage, consequential damage, loss of revenue, loss of profit, missed savings, loss of customers, reputational damage, or damage resulting from business decisions made based on a report.

To the extent permitted by law, the total liability of FP-Operations is limited to the amount paid by the user for the relevant service.

This limitation does not apply to liability that cannot legally be excluded or limited.

14. Availability and changes

FP-Operations may modify, improve, suspend, or discontinue ContractDecision where necessary for maintenance, security, improvement, or business operations.

FP-Operations may update these Terms of Service. The most recent version will be available on the website. Material changes will be communicated where appropriate.

15. Intellectual property

All rights to the website, report structure, texts, templates, workflow, software, prompts, analysis structure, visual design, and other parts of ContractDecision remain the property of FP-Operations or its licensors.

The user receives only the right to use the delivered report internally for business decision-making regarding the relevant contract.

16. Governing law

These terms and the use of ContractDecision are governed by Dutch law, unless mandatory law provides otherwise.

Disputes will preferably first be resolved through mutual consultation. If this is not possible, disputes will be submitted to the competent court in the Netherlands.
