These Terms explain the use of NovaKern workflows, including ContractDecision, Decision Inbox, credits, payments and Premium Review.

Short version

NovaKern workflows provide business risk and decision indications for supplier contracts and supplier emails. Outputs support business decision-making, but they are not legal advice and must be reviewed before use.

1. Scope of the service

NovaKern provides structured decision workflows. ContractDecision is used for supplier contract reports. Decision Inbox is used for supplier emails and supplier-related business signals. Additional workflows or add-ons may be introduced over time.

2. Business use only

The service is intended for business users. By using the workflows, you confirm that you are submitting business information for a legitimate business purpose and that you have the right to provide that information.

3. No legal advice

The output is a business risk and decision indication. It does not constitute legal advice, legal representation, a legal opinion or a substitute for review by a qualified legal advisor.

4. User responsibilities

Submit only information that is necessary for the workflow.
Do not submit information you are not allowed to share.
Review all output before using it internally or externally.
Consult a legal advisor when legal certainty or legal interpretation is required.
Keep your email address and payment details accurate.

5. Credits, payment and access

Paid workflows may use credits. ContractDecision credits and Supplier Mail Review credits are separate. Payments may be processed through Stripe. Access to workflow output may depend on free use eligibility, available credits or successful payment.

6. Premium Review

Premium Review is an optional post-report add-on for deeper business review, negotiation guidance, fallback positions and supplier response direction. It remains business support and does not convert the service into legal advice.

7. AI-generated output

Workflow output may be generated with the help of AI systems. AI-generated content can be incomplete, inaccurate or unsuitable for a specific situation. You remain responsible for reviewing and validating output before relying on it.

8. Delivery of results

Workflow results are generally delivered by email to the address provided during intake. Delivery times may vary depending on automation, payment status, file quality, technical availability and operational review needs.

9. Availability and changes

The service may be updated, changed, interrupted or discontinued. We may modify workflows, pricing, credit packages, output formats, supported file types or page content when needed.

10. Third-party services

The service may rely on third-party providers such as AI providers, Make, Google Workspace, Google Sheets, Gmail and Stripe. Their services may be subject to their own terms, privacy practices and availability.

11. Intellectual property

The platform, workflows, templates, design, prompts, branding and output structure remain protected by intellectual property rights. You may use the delivered report or output internally for your business decision-making, subject to these Terms.

12. Confidentiality and submitted content

You should only submit content that is necessary and appropriate for the workflow. Do not submit highly sensitive, unrelated or prohibited content. Submitted content is processed to provide the requested workflow output and operate the service.

13. Limitation of liability

To the maximum extent permitted by applicable law, the provider is not liable for indirect damages, lost profits, missed savings, business interruption, legal consequences or decisions made based on workflow output. Any liability is limited to the amount paid for the relevant workflow, unless mandatory law requires otherwise.

14. Refunds and disputes

Because workflow credits and reports may involve automated processing, refunds are generally not guaranteed after a workflow has started or output has been delivered. If something goes wrong, contact us so the issue can be reviewed.

15. Prohibited use

Do not use the service for unlawful, harmful or abusive purposes.
Do not attempt to bypass payment, credits or workflow limits.
Do not upload malware, spam, illegal material or unrelated sensitive data.
Do not reverse engineer, scrape or copy workflow logic, prompts or platform design.

16. Changes to these Terms

These Terms may be updated when the service, workflows, pricing, providers or legal requirements change. The effective date indicates the current version.
